1. Introduction
Welcome to ProFXCPA (referred to herein as "the Company," "we," "us," or "our"). If you disagree with any part of these terms, you must not use our Services.
2. Services Offered
The Company provides algorithmic trading software (Bots), market analysis tools, educational content, and links to third-party brokerage and VPS services, primarily focused on the Forex and Cryptocurrency markets.
3. High-Risk Trading Disclaimer and No Guarantee of Results
3.1 Acknowledgment of Risk: You acknowledge and understand that trading in Forex (Foreign Exchange) and Cryptocurrencies is highly speculative, complex, and carries a significant risk of substantial loss. It is not suitable for all members of the public. You should only trade with funds you can afford to lose. The information and Services provided by the Company are for educational and automation purposes only and do not constitute financial advice.
3.2 No Guarantees: The results generated or displayed by our trading Bots, signals, or any other analytical tools are not guarantees or promises of future performance or profit. Past performance is not indicative of future results. The use of our automated trading software does not mitigate market risk; it merely automates trading decisions based on predefined algorithms.
3.3 Assumption of Risk: All funds and investments placed through or in connection with the Services are done so at the Client's sole risk. You accept full responsibility for all trading activities and any loss of funds arising from market volatility, technical issues, software failures, or general trading risks.
3.4 Technical Liability: The Company shall not be liable for any loss of funds or damage resulting from:
BOT Glitch Issues: Errors, malfunctions, or glitches in the trading software or underlying algorithms.
Technical Failures: Disruptions in connectivity, power outages, third-party platform failures, or any other technical issue outside of the Company's immediate control.
VPS Downtime: Any downtime, poor performance, or technical failures associated with third-party Virtual Private Server (VPS) providers recommended or used by the Client. The Company accepts no liability for any losses incurred due to VPS failure or reduced performance.
4. Third-Party Brokers, Exchanges, and Services
4.1 Independence: The Company provides information and links to third-party Forex Brokers (e.g., Valetax, TagMarget, Exnes) and Cryptocurrency Exchanges as a convenience to the Client. We do not own, directly or indirectly control, or hold any financial interest in the brokers or exchanges we promote.
4.2 Non-Representation: We do not represent, nor do we speak for, any of the brokers, exchanges, or VPS providers we promote. Your relationship with these third parties is governed solely by their respective terms and policies, and the Company is not responsible for their services, actions, regulatory compliance, or financial stability.
5. Payment and Refund Policy
5.1 Final Sales: All fees for the purchase or licensing of our Services, including but not limited to trading Bots, subscriptions, and educational materials, are payable in advance.
5.2 Strict No-Refund Policy: The Company operates a strict no-refund policy. You agree that all payments made to the Company for the Services are final. Once a payment is processed, no refund of money will be issued under any circumstances, including but not limited to dissatisfaction with performance, change of mind, or technical issues that are addressed by the Company.
6. Intellectual Property
The content, structure, design, graphics, and underlying source code of the Website and the trading Bots are the exclusive property of the Company and are protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Services for your personal, non-commercial trading use only.
7. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from
(i) your access to or use of or inability to access or use the Services;
(ii) any conduct or content of any third party on the Services;
(iii) any content obtained from the Services; and
(iv) unauthorised access, use, or alteration of your transmissions or content.
8. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the Laws of the Federal Republic Of Nigeria, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in NIgeria to resolve any legal matter arising from these Terms.
